To everyone holding or following Nuit,
We want to share where things stand with Nuit and what to expect going forward. Over the past weeks we have spent significant time working through this update, internally and with partners and advisors we trust. We considered several paths and took time to reach a decision we are confident in. What we are sharing today is the result of that process.
Nuit started in early 2025 as a community project. The team was building an open source execution layer for browser agents, and the founders, who have long been close to the crypto space, wanted to explore where agentic software and on-chain payments might eventually meet. Nuit launched as a fair-launch token on January 23, 2025, with no presale, VC allocation, structured offering, or whitepaper. The team locked its own supply at launch and has never sold any of its team allocation or profited from the token. The team formed Notte Labs shortly after to raise operating capital from traditional investors to build an AI-first Web2 product with zero Nuit allocation to any of them. The team worked on building a company with Web2/Web3 aspirations and pursued ways to integrate the token into the main AI platform.
We built a real on-chain utility for the token early on by enabling users to pay for Notte API credits with Nuit. The feature was live, available to anyone, and was publicly announced on socials (See Reference). While the community attention regarding the token was at its peak, this feature remained largely unused. This motivated the decision to cease supporting the automated Nuit payment flow, hence decreasing maintenance surface and focusing all resources on the core product. However, we always continued, and will continue honouring Nuit payments for API credits manually on request for anyone willing to do so.
Through our work over the last year, we've learned a few things:
We've come to believe that the strongest version of any token integration depends on the core business being strong first. That's the sequence we're committing to.
As of today, we are putting our full focus and resources on building the Web2 business, and pausing further active development of new token mechanics and integrations. In an early-stage company, focus is our most valuable resource, and splitting it between building a Web2 business and developing a token ecosystem would serve neither well.
We have concluded that the most responsible path is to build a durable Web2 business first, and to revisit token development from a position of strength
Even if we pick up development of Nuit in the future, building out its utility is a large undertaking. Many factors, some completely out of our control, could influence whether we succeed in developing the token's utility, and we can't guarantee a specific outcome. Our plans for the token may be influenced due to changes in our business plans, technological challenges, lack of demand, or other reasons. If we ever cease business operations, become insolvent, or get acquired, we may never build additional utility features for the token.
A few important notes: Holding Nuit carries real risk, as with any digital asset, and we can't make promises about the token, its future development, or timing. Holding Nuit does not grant ownership, voting, or other rights in the company. We remain a private company and keep our operations and financials confidential, though we'll continue to share material developments concerning the token. Please hold Nuit only with that understanding.
None of this changes what we, as a team, genuinely believe about where agentic software is heading. We remain convinced that, over time, autonomous agents and on-chain payments will come together in meaningful ways, and that the thesis we originally set out to explore points in the right direction.
The team has always held ~25% of the total token supply since inception. The current exact 24.57% reflects network fees from our locking events, verifiable on-chain [link1, link2]. That allocation has been static, and we are now further extending the lock until January 1st, 2027. As previously noted, Nuit was a fair launch community token, with no presale, venture capital, allocation structured offering, or whitepaper. The team has taken no proceeds from the token, and has received no compensation for it. The team has always been solely supported from the company's separate Web2 business and VC funding.
To reflect this intentional pause on token development, and to avoid any miscommunications or confusion over Nuit, the website will be updated to reflect the current token development pause. We will also be taking the following actions until further notice:
The ideas and constructive engagement from the community over these past weeks have genuinely shaped our thinking, and we're grateful for it. While the team will not be making any further public comments on Nuit following this statement, we'll keep you informed of material developments as the business and the space evolve and where things stand. Through every moment, the team's supply has been held and we've never sold it. This was deliberate, and it stays that way. We think that's rare in this space and is the clearest signal of how seriously we've taken this since the start. We came into this believing autonomous agents and on-chain payments will eventually meet in ways that matter, and we still believe that. What we're doing today is focusing, to support whatever comes next.
